Terms of Service

Welcome to Nudg. These Terms of Service ("Terms") govern your access to and use of the Nudg mobile application ("the App") operated by Nudg ("we," "our," or "us"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use Nudg. If you are between 13 and 18, you may only use the App with the consent of a parent or legal guardian. By using the App, you represent that you meet these requirements.

2. Account

You may sign in using Apple Sign-In or use the App anonymously. You are responsible for maintaining the security of your account and any activity that occurs under it. If you believe your account has been compromised, contact us immediately at [email protected].

3. The Service

Nudg is an AI-powered motivation and goal-tracking app. The App allows you to set goals, check in daily with an AI coach, track streaks, and build positive habits. The AI coaching feature uses artificial intelligence to generate personalized motivational responses.

4. AI Disclaimer

Nudg uses artificial intelligence to generate coaching responses. You acknowledge and agree that:

• AI-generated content is for general motivational purposes only and does not constitute professional advice of any kind.
• AI responses may occasionally be inaccurate, incomplete, or inappropriate.
• The App is not a substitute for professional therapy, counseling, medical treatment, or mental health services.
• You should not rely solely on AI-generated content for important personal, health, or financial decisions.

5. Subscriptions and Payments

Nudg offers a free tier with limited features and an optional paid subscription ("Nudg Pro") with enhanced features.

• All subscriptions are processed through the Apple App Store and charged to your Apple ID.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• You may manage or cancel your subscription at any time through your Apple ID Settings.
• All payments are non-refundable except as required by applicable law or at Apple's sole discretion.
• We reserve the right to modify subscription pricing with notice to existing subscribers.

6. User Content

You retain ownership of all content you create within the App, including goals, check-in messages, and mood entries ("User Content"). By using the App, you grant us a limited license to process and store your User Content solely for the purpose of providing the App's services.

You agree not to submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws.
• Attempt to interfere with, compromise, or disrupt the App's functionality or security.
• Use automated systems, bots, or scripts to access or interact with the App.
• Attempt to reverse-engineer, decompile, or disassemble any part of the App.
• Impersonate any person or entity or misrepresent your affiliation.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you consent to our data practices as described in the Privacy Policy.

9. Intellectual Property

The App, including all code, design, graphics, text, interfaces, and logos (excluding User Content), is the property of Nudg and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the App.

10. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. You may stop using the App and delete your account at any time. Upon termination, your right to use the App ceases immediately.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

New Jersey residents: Certain provisions of this section may not apply to you to the extent they are inconsistent with your rights under New Jersey law, including the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) and the Truth-in-Consumer Contract, Warranty and Notice Act (N.J.S.A. 56:12-14 et seq.).

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NUDG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING DAMAGES FROM RELIANCE ON AI-GENERATED CONTENT.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

New Jersey residents: Nothing in these Terms limits our liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded under New Jersey law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised effective date. Your continued use of the App after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
